Responsibility
- Oversee and manage all corporate secretarial functions, ensuring compliance with statutory and regulatory requirements.
- Prepare and file annual returns, financial statements, and other statutory documents with relevant authorities.
- Organize and facilitate board meetings, general meetings, and committee meetings, including preparing agendas and minutes.
- Maintain and update corporate records, registers, and statutory books in accordance with legal standards.
- Provide expert advice to senior management on corporate governance best practices and regulatory changes.
- Liaise with external stakeholders, including regulators, auditors, and legal advisors, to ensure seamless compliance.
- Develop and implement corporate policies and procedures to enhance governance and operational efficiency.
- Lead and mentor a team of corporate secretarial professionals, fostering a culture of excellence and continuous improvement.
Qualifications
- Bachelor’s degree in Law, Business Administration, or a related field. A professional qualification (e.g., ICSA, ACIS) is highly desirable.
- Minimum of 8 years of experience in corporate secretarial roles, with at least 3 years in a managerial or senior capacity.
- In-depth knowledge of corporate governance frameworks, company law, and regulatory requirements in Malaysia and Indonesia.
- Proven experience in managing board meetings, preparing minutes, and maintaining statutory records.
- Strong analytical, organizational, and problem-solving skills with a keen eye for detail.
- Excellent communication and interpersonal skills, with the ability to engage effectively with senior stakeholders.
- Proficiency in corporate secretarial software and Microsoft Office Suite.
- Ability to work independently and collaboratively in a fast-paced, multicultural environment.
