Responsibility

  • Draft, review, and negotiate complex commercial contracts and legal agreements.
  • Serve as Corporate Secretary, including the preparation of board resolutions, meeting minutes, and maintenance of corporate records.
  • Advise leadership on regulatory changes and compliance matters impacting business operations in the Philippines.
  • Manage corporate filings and ensure timely submission of documentation to regulatory bodies (SEC, etc.).
  • Support in-house legal counsel in managing litigation, dispute resolution, and risk management strategies.
  • Facilitate cross-departmental coordination regarding legal policies and data privacy requirements.
  • Monitor and update corporate governance frameworks to align with global standards.

Qualifications

  • Juris Doctor (JD) or Bachelor of Laws (LLB) degree.
  • Active member of the Philippine Bar in good standing.
  • Minimum of 3-5 years of experience in corporate law or as a corporate secretary, preferably in a multinational corporate setting.
  • Deep understanding of the Revised Corporation Code of the Philippines and relevant securities regulations.
  • Proven ability to manage board communications and complex administrative documentation.
  • Strong analytical, negotiation, and interpersonal skills.
  • Excellent proficiency in written and spoken English.
  • High level of integrity, professional ethics, and attention to detail.
