Responsibility
- Draft, review, and negotiate complex commercial contracts and legal agreements.
- Serve as Corporate Secretary, including the preparation of board resolutions, meeting minutes, and maintenance of corporate records.
- Advise leadership on regulatory changes and compliance matters impacting business operations in the Philippines.
- Manage corporate filings and ensure timely submission of documentation to regulatory bodies (SEC, etc.).
- Support in-house legal counsel in managing litigation, dispute resolution, and risk management strategies.
- Facilitate cross-departmental coordination regarding legal policies and data privacy requirements.
- Monitor and update corporate governance frameworks to align with global standards.
Qualifications
- Juris Doctor (JD) or Bachelor of Laws (LLB) degree.
- Active member of the Philippine Bar in good standing.
- Minimum of 3-5 years of experience in corporate law or as a corporate secretary, preferably in a multinational corporate setting.
- Deep understanding of the Revised Corporation Code of the Philippines and relevant securities regulations.
- Proven ability to manage board communications and complex administrative documentation.
- Strong analytical, negotiation, and interpersonal skills.
- Excellent proficiency in written and spoken English.
- High level of integrity, professional ethics, and attention to detail.
