Responsibility
- Oversee and manage corporate secretarial functions for a portfolio of international clients, including VCCs, family offices, and fund structures.
- Ensure timely and accurate filing of statutory documents, annual returns, and regulatory submissions in compliance with local and international laws.
- Coordinate and facilitate board meetings, shareholder meetings, and AGMs, including preparation of agendas, minutes, and resolutions.
- Maintain and update corporate registers, shareholder records, and constitutional documents with precision and confidentiality.
- Provide expert advisory on corporate governance best practices, compliance requirements, and structural changes (e.g., mergers, acquisitions, or restructuring).
- Liaise with external stakeholders, including lawyers, auditors, and regulatory bodies, to ensure seamless operations.
- Develop and implement process improvements to enhance efficiency in corporate secretarial workflows.
- Stay abreast of regulatory changes and industry trends, proactively advising clients and internal teams on implications.
Qualifications
- Minimum 5 years of experience in corporate secretarial roles, preferably with exposure to international clients, VCCs, or fund structures.
- Professional qualification such as ICSA, CSQS, or equivalent is highly advantageous.
- In-depth knowledge of corporate governance frameworks, including the Companies Act (Singapore/Indonesia) and other relevant regulations.
- Exceptional organizational and time-management skills, with the ability to handle multiple deadlines in a high-pressure environment.
- Strong communication and interpersonal skills, with fluency in English (additional languages are a plus).
- Proficient in Microsoft Office Suite and corporate secretarial software (e.g., BoardPad, Diligent).
- Demonstrated ability to work independently while collaborating effectively with cross-functional teams.
- Attention to detail and a commitment to maintaining the highest standards of confidentiality and integrity.
