Responsibility
- Manage and coordinate board and committee meetings, including preparation of agendas, minutes, and resolutions.
- Ensure compliance with statutory and regulatory requirements, including filings with relevant authorities.
- Maintain and update statutory registers, corporate records, and documentation.
- Liaise with external parties such as regulators, auditors, and legal advisors on corporate matters.
- Provide secretarial support to the Board of Directors and senior management.
- Assist in the preparation of annual reports, financial statements, and other corporate disclosures.
- Monitor changes in corporate governance laws and regulations and advise on their implications.
- Support the implementation of corporate policies and procedures to enhance governance standards.
Qualifications
- Bachelor’s degree in Business Administration, Law, Corporate Secretarial Studies, or a related field.
- Minimum 5 years of experience in corporate secretarial or governance roles, preferably in a listed company or multinational corporation.
- Professional certification such as ICSA (Institute of Chartered Secretaries and Administrators) is a plus.
- Strong knowledge of corporate governance principles, company law, and regulatory compliance.
- Excellent organizational, communication, and interpersonal skills.
- Proficient in Microsoft Office Suite and corporate secretarial software.
- Ability to work under pressure, meet deadlines, and maintain confidentiality.
- High attention to detail and a proactive approach to problem-solving.
