Responsibility

  • Lead the full spectrum of corporate secretarial duties for a diverse portfolio of local and offshore entities.
  • Act as a primary liaison for Board and Committee meetings, including the preparation of agendas, board packs, and precise minute-taking.
  • Ensure 100% compliance with the Singapore Companies Act and manage all statutory filings via ACRA's BizFile+ system.
  • Maintain and update statutory registers, minute books, and internal corporate database systems meticulously.
  • Provide expert advice to the Board and senior management on corporate governance frameworks and regulatory updates.
  • Coordinate and execute complex corporate actions such as share transfers, dividends, and corporate restructuring projects.
  • Collaborate with internal legal, finance, and tax departments, as well as external auditors and regulatory bodies.
  • Oversee the incorporation, maintenance, and striking-off process for various group entities globally.

Qualifications

  • A degree in Law, Business Administration, or a related discipline from a recognized institution.
  • Qualified Chartered Secretary (ICSA/SAICSA/CSIS) is highly preferred.
  • Minimum 5 to 8 years of post-qualification experience in corporate secretarial roles, preferably within a large MNC or a reputable law firm.
  • Comprehensive knowledge of the Singapore Companies Act and the Code of Corporate Governance.
  • Exceptional command of written and spoken English with the ability to communicate effectively at the Board level.
  • Strong analytical skills with a meticulous attention to detail and high organizational ability.
  • Proficiency in corporate secretarial software and Microsoft Office Suite.
  • Ability to work independently in a fast-paced environment and meet strict regulatory deadlines.
